1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Unity Financial Network LLC ("Company," "we," "us," or "our") governing your access to and use of the Unity Marketing Platform accessible at marketing.byunity.net (the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

2. Description of Services

The Platform provides marketing automation services including:

  • Email marketing campaign creation and management
  • WhatsApp Business messaging through Meta's Cloud API
  • Contact management and segmentation
  • Campaign analytics and reporting
  • Template creation and management
  • AI-powered content generation assistance

3. Account Registration

To use the Platform, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized account access
  • Accept responsibility for all activities under your account

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

4. Acceptable Use Policy

You agree NOT to use the Platform to:

  • Send unsolicited bulk messages (spam) or violate anti-spam laws (CAN-SPAM, GDPR, TCPA)
  • Send messages to recipients who have not opted in or consented
  • Distribute malicious content, malware, or phishing attempts
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit illegal, harmful, threatening, abusive, or defamatory content
  • Attempt to gain unauthorized access to our systems
  • Use automated scripts to scrape or collect data
  • Interfere with the Platform's operation or other users' access
  • Violate Meta/WhatsApp's Business Messaging Policy or Terms of Service

5. WhatsApp Business Messaging

When using WhatsApp Business features, you additionally agree to:

  • Comply with Meta's WhatsApp Business Policy and Commerce Policy
  • Only send messages to users who have opted in to receive communications
  • Use approved message templates for initiating conversations
  • Respect the 24-hour messaging window for free-form messages
  • Not use WhatsApp for prohibited content categories as defined by Meta
  • Maintain accurate business information in your WhatsApp Business profile

6. Email Marketing Compliance

When using email marketing features, you agree to:

  • Only send emails to recipients who have given proper consent
  • Include a valid physical mailing address in all marketing emails
  • Provide clear and working unsubscribe mechanisms
  • Honor opt-out requests within 10 business days
  • Accurately represent yourself and your organization
  • Comply with CAN-SPAM, GDPR, CASL, and other applicable laws

7. Intellectual Property

The Platform, including its design, features, content, and underlying technology, is owned by Unity Financial Network LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

You retain ownership of content you create and upload to the Platform. By uploading content, you grant us a license to use, store, and transmit that content as necessary to provide our services.

8. Third-Party Services

The Platform integrates with third-party services including Meta/WhatsApp, Resend (email delivery), and other providers. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for third-party services' availability, performance, or policies.

9. Payment Terms

  • Fees are billed according to your selected plan
  • Payment is processed through secure third-party payment providers
  • You authorize recurring charges for subscription services
  • Fees are non-refundable unless otherwise stated
  • We may change pricing with 30 days advance notice
  • Failure to pay may result in service suspension or termination

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Platform will be uninterrupted, secure, or error-free. Message delivery rates depend on third-party services and recipient factors beyond our control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITY FINANCIAL NETWORK LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM.

Our total liability shall not exceed the amount paid by you for the Platform services in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Unity Financial Network LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Content you create, upload, or transmit through the Platform
  • Your infringement of any third-party rights

13. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately for violation of these Terms, illegal activity, or at our sole discretion.

Upon termination, your right to use the Platform ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. You consent to the personal jurisdiction of these courts.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
